Business Referral Partner Program — Terms & Fine Print

The Noble Referral Partner Program is administered by Noble Services Canada Inc. (“Noble”). Participation in the program is subject to approval by Noble. Submitting an application does not automatically enroll an individual or business in the program or create any entitlement to a referral commission.

Approved Referral Partners must enter into and comply with the current Noble Referral Partner Agreement before becoming eligible to earn referral commissions.

Referral Commission

Approved Referral Partners may earn a referral commission equal to 2% of the qualifying project value, up to a maximum of $3,000 CAD per referred client/project.

The qualifying project value is determined by Noble and is based on eligible amounts actually charged and collected by Noble for the applicable project.

Unless otherwise agreed to in writing by Noble, the qualifying project value does not include GST/HST or other taxes, delivery or freight charges, customs, duties, tariffs, brokerage, permits, inspections, engineering or professional fees, financing charges, third-party or pass-through expenses, refunds, credits, rebates, discounts, warranty or service work, or amounts cancelled, written off or not collected by Noble.

Referral Registration

All referrals must be submitted through Noble's designated referral system using the Referral Partner's valid Referral Partner Code.

A prospective client must be registered before that person or organization becomes an existing Noble lead.

Submission of a referral does not automatically establish eligibility for a commission. Noble will verify the Referral Partner, Referral Partner Code, prospective client, date of registration, existing lead status and overall eligibility.

Referral Partner Codes are issued by Noble and may not be transferred, sold, publicly distributed or knowingly provided to unauthorized persons.

New Clients Only

To qualify, the referred client must be a genuinely new prospective Noble client.

A referral will not qualify if, before registration, the prospective client:

  • had already contacted Noble;

  • had requested or received a quotation from Noble;

  • was already discussing a potential project with Noble;

  • was already recorded as a Noble lead or customer; or

  • had already been validly referred by another person or Referral Partner.

Noble's dated business records will be used to determine referral eligibility and priority.

One Referral Per Client and Project

Only one referral commission or referral reward may be issued for the same client and project.

If multiple people or businesses claim the same prospective client, the first valid referral registered and recorded by Noble will receive referral attribution, subject to eligibility.

Referral commissions will not be divided between multiple parties unless Noble expressly agrees otherwise in writing.

Attempts to register the same client under different names, businesses, family members, related entities, project names or other arrangements for the purpose of receiving multiple referral awards may result in disqualification from the program.

A genuinely separate future project for the same client may qualify only where Noble confirms its eligibility.

When a Referral Commission Is Earned

A referral commission is not earned when a referral is submitted, a quotation is issued, a contract is signed, or a deposit or progress payment is received.

No referral commission is earned, accrued, owing or payable unless and until:

  1. the referral has been accepted by Noble as a qualifying referral;

  2. the referred client enters into an eligible contract directly with Noble;

  3. the qualifying project is completed; and

  4. Noble has received payment of the referred client's final invoice in full and in cleared funds.

If a project is cancelled, abandoned, refunded, unpaid or otherwise fails to satisfy these requirements, no referral commission is earned.

Where the final project value is reduced through credits, refunds, discounts, chargebacks, non-payment or other adjustments, Noble may calculate the referral commission using the amount ultimately collected.

Nature of the Referral

The Noble Referral Partner Program compensates approved partners for making successful introductions of new clients to Noble.

The Referral Partner is not responsible for selling or completing the project.

Following the introduction, Noble handles the client consultation, site assessment where required, estimating, pricing, quotation, design, contracts, sales process, construction, project management, client communication, invoicing, collection and warranty obligations.

The referral commission is compensation for the successful introduction of a qualifying new client.

No separate promoter, advertising, endorsement, marketing or lead-generation payments are available through the Noble Referral Partner Program.

No Authority to Represent Noble

Referral Partners are independent referral sources and are not employees, agents, sales representatives, franchisees, partners or legal representatives of Noble.

Referral Partners may not negotiate on Noble's behalf, issue quotations, offer discounts, establish project pricing, make warranties or guarantees, collect payments, enter into contracts on Noble's behalf, or otherwise bind Noble to an obligation.

Only information, quotations, contracts, warranties and commitments issued or expressly approved by Noble are binding upon Noble.

Project Acceptance

Noble is under no obligation to quote, accept or complete any referred project.

Noble retains sole discretion regarding project suitability, feasibility, pricing, design, scheduling, service area, customer acceptance and whether Noble will enter into or continue a contract with a prospective customer.

A referral does not guarantee that a project will proceed or that a referral commission will be earned.

Customer Information and Privacy

Referral Partners are responsible for obtaining appropriate permission before submitting another person's contact information to Noble.

Only information reasonably necessary to make the referral should be submitted.

By submitting an authorized referral, the Referral Partner acknowledges that Noble may contact the prospective client directly regarding the potential project.

Taxes

Referral Partners are responsible for reporting referral income and for any applicable income tax, GST/HST or other tax obligations associated with commissions received.

Noble may require appropriate tax or business information before issuing payment where required.

Noble is not responsible for taxes incurred from referral commission.

Program Conduct

Noble may suspend, disqualify or terminate a Referral Partner for misuse of the referral program, fraudulent or misleading referrals, unauthorized representations, misuse of Noble branding, Referral Partner Code misuse, duplicate-referral manipulation, attempts to circumvent program rules or other material violations of the Referral Partner Agreement.

Controlling Agreement

These website terms provide a general description of the Noble Referral Partner Program.

The complete rights and obligations of an approved Referral Partner are governed by the signed Noble Referral Partner Agreement.

If these website terms and a signed Referral Partner Agreement conflict, the signed Referral Partner Agreement will govern.

Noble Services Canada Inc. reserves the right to modify, suspend or discontinue the Referral Partner Program for future referrals. Changes will not eliminate a referral commission that has already been fully earned under the applicable signed agreement.
